There are certain minimum requirements that must be met for registering an OPC, which includes:

  • The director must be an individual who is an Indian citizen and a resident of India. 
  • Additionally, they must not be a minor or declared as mentally incapable by a court of law.

If the name is available, it can be reserved for a period of 20 days through the MCA portal, within which period the process must be initiated to secure the chosen name or else the name reservation will expire and become available for others.

Obtaining DSC and DIN

Obtaining a Digital Signature Certificate i.e. DSC and Director Identification Number i.e. DIN is essential for the registration of an OPC.

To obtain a DSC, individuals need to apply to certified agencies that issue digital signatures. They need to submit the required documents and complete the verification process. The DSC is then issued in the form of a USB token or a file.

To obtain the DIN, an application has to be filed with the MCA, which is submitted online through the MCA portal and requires the submission of relevant identification and address proof documents. Once the application is processed, the DIN is allotted to the individual, which can be used for OPC registration and other company-related activities.

B. Consent letter and declaration by the nominee director

The nominee director in an OPC plays a crucial role and their consent to act as the nominee director must be obtained. Additionally, a declaration stating that the nominee director is not disqualified from being appointed as a director is also prepared. These documents ensure clarity and legal confirmation of the nominee director’s acceptance.

C. Collection of required documents (address proof, identity proof, photographs, etc.)

Several documents are required during the OPC registration process. These include address proof, identity proof and photographs of the proposed director and nominee director. The address proof can be in the form of a utility bill, bank statement or passport. The identity proof can be a PAN card, Aadhaar card or passport. Collecting these documents in advance ensures a smooth registration process without delays or complications.

Online Registration Process for OPC

The online registration process of an OPC entails the following procedure:

A. Creating account on the MCA portal

First of all, individuals need to create an account on the Ministry of Corporate Affairs i.e. MCA portal, which entails providing basic details such as name, email address,etc. Once the account is created, they can access the necessary forms and initiate the OPC registration.

B. Filling out the SPICe+ form (Simplified Proforma for Incorporating Company Electronically)

The next step in the online registration process is to fill out the SPICe+ form. This comprehensive form replaces the earlier incorporation forms and consolidates various services related to company incorporation. 

C. Uploading necessary documents and payment of fees

After filling out the SPICe+ form, individuals need to upload the required documents. These include the Memorandum of Association (MoA), Articles of Association (AoA), consent letter, declaration by the nominee director and identification and address proofs of the directors. 

D. Verification of the application and generation of Certificate of Incorporation (CoI)

Once the form and documents are submitted, the MCA verifies the application. If there are no discrepancies or issues found during the verification process, the MCA approves the application and generates the Certificate of Incorporation (CoI).
